Brand Ambassador Agreement

1Program Term and Relationship

This Agreement begins on the Effective Date and continues until it is ended by either party under Section 8. There is no fixed end date.

Ambassador is an independent contractor and is not an employee, partner, legal representative, or agent of Fineran CE. Ambassador may not bind Fineran CE or make commitments on its behalf, is not entitled to employee benefits, and is responsible for the Ambassador’s own taxes and expenses.

2Ambassador Benefits

After signing this Agreement, Ambassador will receive:

1. Complimentary enrollment in one Fineran CE course approved for LREC continuing-education credit;
2. A unique referral link that gives a new customer 20% off that customer’s first purchase; and
3. Eligibility for the referral commissions and earned tiers described below.

Any LREC certificate of completion for the complimentary course (or any other Fineran CE course Ambassador takes) will be issued only in Ambassador’s own name, as licensed with the LREC, and will bear Ambassador’s Louisiana real estate license number on file with the LREC. Continuing-education credit is personal to Ambassador and cannot be transferred or earned on another person’s behalf.

How the rate is applied. The commission rate is set by the highest tier the Ambassador has earned as of the date of each qualifying purchase, and rate increases apply prospectively only. Between two commission tiers, the last rate earned continues to apply — for example, an Ambassador who has reached Lifetime (10 referrals) but not Growth Partner (25) earns 15% until Growth Partner is reached.

3Referral Attribution and Commission Window

A “Qualifying Referral” is a new Fineran CE customer whose first completed, non-refunded purchase is attributed to Ambassador. Each new customer counts once toward an earned tier.

After a new customer is attributed to Ambassador, Ambassador earns the applicable commission on all completed, non-refunded purchases that customer makes during the 12 months following the date the customer is first attributed to Ambassador (the “Commission Window”).

Fineran CE will determine attribution using its learning-platform records and referral ledger. No commission or earned-tier credit is available for self-referrals, existing Fineran CE customers, refunds, chargebacks, fraudulent activity, duplicate accounts, or purchases not reasonably attributable to Ambassador.

4Commissions, Statements, and Payment

Commissions are calculated on amounts actually collected by Fineran CE after discounts and excluding taxes, refunds, chargebacks, and similar adjustments.

Fineran CE will provide Ambassador with a monthly statement (or more frequent updates when practical) showing referral activity, commissions, and progress toward the next earned tier. Statements may include valid referral-link clicks, but clicks do not earn compensation and are not Qualifying Referrals.

Commissions become payable after the applicable refund period. Fineran CE will pay commissions quarterly once Ambassador’s payable balance reaches $25; smaller balances carry forward. Payment will be made through a method agreed upon by the parties. Ambassador will provide a completed IRS Form W-9 before receiving payments, and Fineran CE will issue a Form 1099-NEC where required by law.

5Ambassador Activities

Ambassador will:

1. Complete the complimentary course within 30 days after receiving access;
2. Share Ambassador’s referral link in a genuine professional or social channel within the first 30 days;
3. Make truthful statements about Fineran CE and its courses;
4. Use only approved discounts and accurately describe course approval, credit hours, pricing, and content; and
5. Comply with applicable laws, platform rules, and advertising requirements, including CAN-SPAM and the TCPA if Ambassador promotes by email or text message.

Fineran CE may provide optional suggested posts, talking points, and promotional tips. Ambassador may use, adapt, or decline those materials. Ambassador may not use spam, misleading claims, or unauthorized paid advertising, and may not make claims promising income, transactions, professional competence, or unusually fast course completion.

Fineran CE may request correction or removal of inaccurate or non-compliant promotional content.

6Activity and Limited Program Capacity

Ambassador’s unique referral link is used to monitor Program activity. A valid referral-link click or completed purchase counts as activity.

Because the founding cohort has limited capacity, Fineran CE may remove Ambassador from the Program after 90 consecutive days without valid activity. Ambassador is not required to submit screenshots, posting logs, or routine activity reports.

7Professional Conduct and Non-Disparagement

Ambassador will not knowingly make false, defamatory, or malicious statements about Fineran CE, its owners, instructors, courses, or personnel.

This Section does not prohibit honest opinions, truthful reviews, candid private feedback, legally protected communications, or reports to a regulator, government agency, or law-enforcement authority.

8Ending Participation

Either party may end this Agreement at any time by written notice. Fineran CE may immediately deactivate Ambassador’s referral link for fraud, misleading promotion, spam, material violation of this Agreement, or conduct reasonably likely to harm Fineran CE or the Program (“termination for cause”).

After this Agreement ends:

1. Ambassador will be paid valid commissions earned on purchases completed before the end date, after the applicable refund period;
2. If the Agreement ends without cause, Ambassador continues to earn commissions on already-attributed customers’ purchases for the remainder of each customer’s 12-month Commission Window, paid under Section 4;
3. On termination for cause, eligibility for further commissions ends, and only commissions already earned remain payable;
4. Earned lifetime access continues, subject to Section 2; and
5. Sections 2, 3, 4, 7, 8, and 9 survive to the extent needed to give them effect.

9General Terms

Trademark license

Fineran CE grants Ambassador a limited, revocable, non-exclusive, non-transferable license to use the Fineran CE name and logo solely to promote Fineran CE courses in accordance with this Agreement and any brand guidelines Fineran CE provides. All goodwill from that use inures to Fineran CE. The license ends automatically when this Agreement ends, and Ambassador will promptly stop using the marks.

Assignment

Ambassador may not assign or transfer this Agreement or the referral account. Fineran CE may assign this Agreement and the Program to an affiliate or successor, including in connection with a sale, reorganization, or a rebranding or vendor renaming.

Indemnification

Ambassador will indemnify and hold Fineran CE harmless from third-party claims arising out of Ambassador’s unauthorized claims, misrepresentations, or violations of law or this Agreement.

Limitation of liability

To the maximum extent permitted by law, Fineran CE’s total liability under this Agreement will not exceed the total commissions paid to Ambassador under this Agreement in the 12 months before the event giving rise to the claim. Neither party is liable for indirect, incidental, special, or consequential damages.

Changes to Program terms

Fineran CE may modify prospective Program terms (such as the new-customer discount, future commission rates, and course availability) by posting or sending notice to Ambassador. Such changes apply only going forward and will not reduce commissions or benefits already earned.

Confidentiality

The referral ledger, statements, and other non-public Program information are confidential and will be used only to participate in the Program.

Governing law and fees

Louisiana law governs this Agreement, without regard to its conflict-of-laws rules. In any dispute under this Agreement, the prevailing party is entitled to recover reasonable attorneys’ fees and costs.

Dispute resolution; confidential arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement — including its breach, termination, enforcement, interpretation, or validity — will be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, before a single arbitrator. The arbitration will be seated in the parish of Fineran CE’s principal office in Louisiana (and may be conducted by videoconference), and judgment on the award may be entered in any court of competent jurisdiction. The arbitration — including its existence, the proceedings, all submissions and evidence, and the award — will be kept strictly confidential by the parties, except as reasonably necessary to enforce or challenge the award or as required by law. The parties agree to arbitrate only on an individual basis; class, collective, consolidated, and representative actions are not permitted. Nothing in this Section prevents either party from seeking temporary or injunctive relief from a court (for example, to protect intellectual property or confidential information) or from bringing an individual claim in small-claims court.

Entire agreement

This Agreement is the entire agreement concerning Ambassador’s participation in the Program and, except for prospective Program-term changes described above, may be changed only in a writing agreed to by both parties. Electronic signatures and counterparts are permitted.
